Terms and Conditions of Sale
Although the information in this price list is presented in good faith and believed to be correct at
time of printing, POWERSTACK makes no representations or warranties as to the completeness
or accuracy of the information. POWERSTACK has no liability for any errors or omissions in the
materials.
POWERSTACK reserves the right to change, delete, or otherwise modify the information which
is represented without any prior notice. Persons receiving this information will make their own
determination as to its suitability for their own purposes prior to use.
In no event will POWERSTACK be responsible for damages of any nature whatsoever resulting
from the use of or reliance upon information from this catalog or the products to which the
information refers.
Possession of our price list or literature does not constitute an offer to sell.
Prices shown are list prices and are subject to trade discount and to change without notice.
All prices are subject to change without Notice. Prices may also be changed without notice due
to unforeseen cost increases of imported products, raw materials, oil, and transport, export, or
import costs, or currency fluctuations. We carefully check pricing and product specifications, but
occasionally errors can occur, therefore we reserve the right to change both without notice. All
quotations, bids, contracts and orders are subject to the final written approval, acceptance
and/or confirmation by POWERSTACK, in accordance with these Standard Terms.
Quotations will be valid for a period of thirty (30) days. Confirmed prices on deferred or hold
orders will be valid for ninety (90) days. We are not responsible for customer pricing errors.
Some variations between picture and product may occur. Some products listed may be non-
stock items.
Full payment is due net 30-days for credit approved accounts. Accepted payment methods
include credit card, cash, check, and wire transfer. Payment by Visa, MasterCard and
American Express are accepted for prepayments or for net 10-day terms (an additional 3.5% will
be added for processing). Accounts without terms are subject to payment in advance, until
credit approval has been granted and accepted.
Payments received by POWERSTACK later than 10 days after due date will incur a 15%
monthly finance charge. The Customer will be liable for all legal fees incurred by
POWERSTACK in the event that legal action is required to collect any amount owing to
POWERSTACK. The Customer will also be liable for past due accounts under these Standard Terms, including legal fees associated with efforts to collect past due accounts.
International orders accepted against Letters of Credit or checks/Wire Transfers in advance
only. An administration fee will be charged for all returned checks. An administration fee will be
charged for all returned checks. The buyer agrees to pay all applicable attorney and collection
Fees.
All shipment/delivery dates on POWERSTACK, quotes, acknowledgements, or otherwise are a
best approximation of probable shipment/delivery dates and are not guaranteed. Shipment and
delivery are subject to delays due to any condition or happening whatsoever beyond the
reasonable control of POWERSTACK, including but not limited to inadequate transportation
services, inability to secure raw materials or supplies, fuel, or power, fire, flood, windstorm, or
other acts of God, strikes, lockouts, or other labor disturbances, orders or acts of any authority,
or any cause of similar or different kind. POWERSTACK, shall not be liable for costs, expenses
or damages incurred by any party due to shipment or delivery after estimated date.
Orders accepted by POWERSTACK for customized, modified or specifically produced items are
non-cancelable and said items are non-returnable. All requests for the return of standard
product must be made within sixty (60) days of the date of invoice, and will only be accepted if
in resalable condition. No product(s) will be accepted for return unless accompanied by a
Return Goods Authorization issued by the Sales Coordinator only. A minimum 50% restocking
and reworking charge, plus full freight, will apply to all returns.
Cancellation and Changes
After receipt of approved drawings and release of the order the following charges shall apply for
any cancellations:
Standard products: 35% of selling price.
All Custom products: 100% of selling price.
The following minimum change fees will apply in case of product modification after an order has
been released and scheduled:
2 weeks after release – 10% of order value.
4 weeks after release – 20% of order value.
6 weeks after release – 50% of order value.
1 week prior to shipment – no modification will be accepted without a complete price revision
up to entire cost of affected product(s).
NOTE: Any change order will automatically involve a reschedule of the shipment date and
freight minimums may be affected (allowed freight may be cancelled or adjusted).
POWERSTACK has no recourse for damaged products that were shipped collect or third party.
In the event of shortage or if damage is detected, in a collect or third party shipment, notify the
delivering carrier at once to request an inspection and file a claim promptly.
